ISSUES OF IMPLEMENTATION OF EFFECTIVE SYSTEMS OF CORPORATE GOVERNANCE IN PRIVATE JOINT-STOCK COMPANIES IN RUSSIA
Abstract
Main factors responsible for structure of effective system of corporate governance are defined on the basis of separate expert poll. Main conflicts of interests actual to Russian companies today are set out. Main obstacles for implementation of systems of corporate governance in Russia are considered: restructuring of culture of relations inside a joint- stock company, presence measure of insiders and outsiders, enforcement of by-laws etc. Recommendations for minimization of negative factors in the process of implementation of enterprise management systems are suggested.
